I want duplicate an existing site (content & database). what are the steps that i should follow  ?

in IIS Website Management create a new website (using a new folder) and bind host header to your new domain address.
Copy all files to the folder of the new website.
restore a backup from your database to a new database and grant dbowner permission for the SQL server account you are going to use.
Modify content of table portalalias to make sure a primary alias does match your new domain address.
Edit connection strings in web.config to point to the new database.
